These Terms of Service (“Terms”) govern your access to and use of the boparoollc.com website (the “Site”) and any consulting or software services provided by Boparoo LLC (“Boparoo,” “we,” “us,” or “our”). By accessing the Site or engaging us, you agree to be bound by these Terms.

1. About Boparoo LLC

Boparoo LLC is a limited liability company organized under the laws of the State of Wyoming, USA, with its registered office at 30 N Gould St Ste R, Sheridan, WY 82801. EIN: 32-0793160.

2. Services

Boparoo provides business consulting, custom software development, systems integration, cloud and infrastructure, data and analytics, and compliance and security services. The specific scope, deliverables, fees, timelines, and responsibilities for each engagement are governed by a separate written agreement, statement of work, or proposal executed between Boparoo and the client. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls.

3. Use of the Site

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Site or our systems
• Interfere with or disrupt the Site or servers
• Reverse engineer, decompile, or scrape content from the Site without our written consent
• Submit false, misleading, or fraudulent information through any form on the Site

4. Intellectual property

All content on the Site, including text, graphics, logos, and code, is owned by or licensed to Boparoo LLC and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any Site content without our prior written permission.

For client engagements, ownership of deliverables is governed by the relevant signed agreement. As a default practice, custom code and deliverables developed for and paid for by the client are assigned to the client upon full payment, except for pre-existing tools, libraries, and methodologies which remain the property of Boparoo.

5. Fees and payment

Fees, payment terms, and invoicing schedules for services are specified in each signed engagement document. Unless otherwise stated, invoices are due within 14 days of issuance. Late payments may accrue interest at the lower of 1.5% per month or the maximum rate permitted by law.

6. Confidentiality

Boparoo treats all non-public client information as confidential and uses it only for the purposes of delivering the agreed services. Clients agree to protect any confidential information of Boparoo (such as proposals, methodologies, and pricing) with the same level of care.

7. Warranties and disclaimers

The Site is provided “as is” and “as available” without warranties of any kind, express or implied. Boparoo does not warrant that the Site will be uninterrupted, error-free, or free of viruses or harmful components. Service warranties for paid engagements are set forth in the relevant signed agreement.

8. Limitation of liability

To the maximum extent permitted by law, Boparoo's total liability arising out of or relating to these Terms or your use of the Site shall not exceed one hundred U.S. dollars (USD 100). In no event shall Boparoo be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or data. For paid engagements, liability is governed by the relevant signed agreement.

9. Indemnification

You agree to indemnify and hold harmless Boparoo LLC and its members, officers, employees, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your unlawful use of the Site.

10. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

11. Changes to these Terms

We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
